These Terms & Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and B Legal Knowledge (“B Legal”, “we”, “us”, or “our”) governing your access to and use of B Legal’s website, digital platforms, applications, learning management systems, content, courses, corporate training programmes, events, materials, and related services (collectively, the “Services”).

By accessing, registering for, or using any part of the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility
1.1 You represent and warrant that you are at least eighteen (18) years old and have the legal capacity to enter into this Agreement.
1.2 If you are accessing the Services on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

2. Nature of Services
2.1 B Legal provides legal education, professional development, corporate training, workshops, seminars, and informational materials related to law, business, and professional practice.
2.2 All Services are provided for educational and informational purposes only and do not constitute legal advice, legal opinions, or professional services.
2.3 No lawyer-client, fiduciary, advisory, or professional relationship is created by your use of the Services.

3. Accounts and Access
3.1 Certain Services may require account registration. You agree to provide accurate, complete, and current information.
3.2 You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
3.3 B Legal reserves the right to suspend or terminate accounts that violate this Agreement or applicable law.

4. License to Use Content
4.1 Subject to compliance with this Agreement, B Legal grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and content for your personal or internal business use only.
4.2 No ownership rights are transferred to you. All rights not expressly granted are reserved by B Legal.

5. Restrictions
You shall not, directly or indirectly:
a) Copy, reproduce, record, distribute, sell, license, or exploit any content;
b) Share access credentials or permit third-party access;
c) Modify, reverse engineer, or create derivative works;
d) Use the Services for competing or commercial redistribution purposes;
e) Upload unlawful, misleading, defamatory, or infringing content.

6. Payments, Fees, and Refunds
6.1 Certain Services require payment. All fees are disclosed at the time of purchase.
6.2 Fees are payable in advance and are non-refundable unless expressly stated otherwise in writing.
6.3 B Legal reserves the right to modify pricing, offerings, and payment terms at any time.

7. Corporate and Institutional Services
7.1 Corporate, institutional, or group training services may be governed by separate written agreements.
7.2 In the event of a conflict, the terms of the signed corporate agreement shall prevail over this Agreement.

8. Intellectual Property Rights
8.1 All content, materials, trademarks, logos, methodologies, and intellectual property forming part of the Services are owned by or licensed to B Legal.
8.2 Unauthorized use constitutes infringement and may result in legal action.

9. User-Generated Content
9.1 You retain ownership of content you submit; however, you grant B Legal a worldwide, perpetual, royalty-free, irrevocable license to use, reproduce, modify, and distribute such content for educational, operational, and promotional purposes.
9.2 B Legal may remove content at its sole discretion.

10. Third-Party Content
10.1 The Services may include links or references to third-party content.
10.2 B Legal does not control or endorse such content and disclaims all liability arising from third-party materials.

11. Privacy and Data Protection
11.1 B Legal collects, processes, stores, and uses personal data in accordance with its Privacy Policy, as updated from time to time, and applicable data protection laws of the United Arab Emirates.
11.2 By using the Services, you acknowledge and agree that your personal data may be collected and processed for purposes including account administration, service delivery, training management, communications, compliance, and business operations.
11.3 Where applicable, B Legal may process personal data on behalf of corporate or institutional clients in accordance with contractual arrangements and applicable law.
11.4 The Privacy Policy forms an integral part of this Agreement, and your continued use of the Services constitutes acceptance of such Privacy Policy.

12. Disclaimers
11.1 The Services are provided “as is” and “as available” without warranties of any kind.
11.2 B Legal does not guarantee outcomes, results, professional qualification, or regulatory recognition.

13. Limitation of Liability
12.1 To the maximum extent permitted by law, B Legal shall not be liable for indirect, incidental, consequential, or special damages.
12.2 B Legal’s total liability shall not exceed the amount paid by you for the relevant Service.

14. Indemnification
You agree to indemnify and hold harmless B Legal from any claims, damages, losses, or expenses arising from your breach of this Agreement or misuse of the Services.

15. Termination
14.1 B Legal may suspend or terminate access immediately upon breach of this Agreement.
14.2 Upon termination, all licenses granted herein shall automatically terminate.

16. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or related to this Agreement shall be exclusively resolved by Dubai Courts.

17. Amendments
B Legal may amend this Agreement at any time. Continued use of the Services constitutes acceptance of the amended terms.

18. Severability
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement
This Agreement constitutes the entire agreement between you and B Legal regarding the Services and supersedes all prior agreements or understandings.
